Terms of Service
Rules for using Optonum, including AI features, plan limits, and billing.
Agreement
These Terms of Service ("Terms") govern access to and use of Optonum ("Service") operated by Optonum ("we", "us"). By registering, accessing, or using the Service, you agree to these Terms and our Privacy Policy.
If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity. "You" and "Customer" refer to that entity or individual as applicable.
The service
Optonum provides manufacturing planning, discrete-event simulation, industrial engineering calculators, operations modules, dashboards, and optional autonomous AI agents. Available features depend on your subscription plan, enabled modules, and account configuration.
We may add, modify, or discontinue features with reasonable notice for paid plans. Free-tier features, including AI assistant usage, may be subject to daily rate limits as described on our pricing page.
Accounts & acceptable use
You agree to:
- Provide accurate registration information and keep credentials secure.
- Ensure factory data you upload is accurate and that you have the right to process it.
- Review all AI agent proposals before approving changes that affect production, procurement, or scheduling.
- Not attempt to bypass approval gates, scrape the Service, reverse engineer proprietary components, or use the Service for unlawful purposes.
- Not exceed plan limits or share accounts in ways that circumvent billing.
AI features & human oversight
The AI assistant and autonomous agents produce suggestions based on data you provide. Outputs may be incomplete or incorrect. They are decision-support tools, not professional engineering, legal, or safety advice.
Autonomous agents (Bottleneck Oracle, Procurement Agent, Scheduling Agent) are available on Pro and Enterprise plans only. On all plans, material changes require explicit human approval through the Change Request workflow before they take effect.
You remain solely responsible for production decisions, workplace safety, regulatory compliance, and outcomes of approved changes.
Subscriptions, billing & free tier
Plan tiers and limits are described on our landing page pricing section. Paid subscriptions renew automatically each billing cycle unless cancelled before the renewal date.
Free tier includes limited AI assistant messages per day (currently 15 per organization, UTC calendar day). Autonomous agents require a paid Pro or Enterprise subscription.
Prices are in USD unless stated otherwise. Taxes may apply. Refunds are handled case-by-case for annual plans within 14 days of initial purchase if the Service has not been materially used.
Failure to pay may result in downgrade, suspension, or termination of paid features.
Customer data & privacy
You retain ownership of factory and account data you submit. We process it as described in our Privacy Policy to provide the Service. Our subprocessors list (Supabase, Vercel, Google Gemini, OpenAI, Stripe, Resend) is published in the Privacy Policy.
You are responsible for obtaining any consents required from your employees or data subjects whose personal data you upload.
Intellectual property
We own the Service, software, documentation, and branding. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.
Feedback you provide may be used to improve the Service without obligation to you.
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Simulations and AI outputs do not guarantee production outcomes, throughput, quality levels, or financial results.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, PRODUCTION DOWNTIME, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY.
Our aggregate liability for any claim arising from these Terms or the Service shall not exceed the fees you paid us in the twelve (12) months preceding the claim, or USD $100 if you use the Free tier.
Indemnification
You will indemnify and hold us harmless from claims arising from your data, your use of the Service, your violation of these Terms, or your violation of applicable law — except to the extent caused by our gross negligence or willful misconduct.
Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or abuse after notice where practicable.
Upon termination, your right to access the Service ends. Data handling follows our Privacy Policy retention section.
Governing law & contact
These Terms are governed by the laws of the Republic of Turkey, excluding conflict-of-law rules, unless mandatory consumer protection law in your jurisdiction requires otherwise.
